Chad Johnston is the Founder and CEO of KCS Capital, a Canadian financial infrastructure company focused on regulated digital markets and institutional tokenization. With a background leading large-scale operational teams in Canada's oil and gas sector, he brings experience managing complex, high-risk environments tied to multi-billion-dollar industrial projects. His work today is centered on developing compliant digital infrastructure for the evolution of Canadian capital markets and financial systems.

His entrepreneurial roots run deep. His grandparents founded the first glass company in Fort McMurray in 1972, securing early contracts with what would become Syncrude and Suncor during the early oil sands expansion. That legacy of building in emerging industries instilled in him a respect for long-term thinking and conviction during uncertain cycles.

Inspired by that example, Chad began his own entrepreneurial path early, launching his first lawn care business at 13. A modest start, but a defining moment. It was the first time he experienced the direct relationship between effort, production, and return. That early lesson in ownership, accountability, and self-reliance shaped the mindset he carries into every venture today.

Chad began his career in Canada's oil and gas and industrial sectors, working his way up through the ranks across a variety of industries, leading large-scale projects involving multi-million-dollar equipment and sizeable field teams in high-risk, mission-critical environments. He played a senior leadership role in the final phase of the multi-billion-dollar CNRL Horizon Coker Upgrade, with care and control of more than 100 workers. For a portion of his career he served as a certified High Angle Rope Rescue Technician, responsible for life-critical decisions under pressure. These experiences shaped his disciplined, risk-aware leadership style.

In 2013, he transitioned into entrepreneurship, launching a specialized mobile oil services company and engineering a custom oil regeneration system from the ground up. The commodity downturn of 2015 reinforced a defining principle: time in the market beats timing the market. He later expanded into multi-industry service businesses, working with startups and focusing on scalable sales models, growth systems, and client retention. Building teams over the years taught him an important lesson: you may not know every answer, but if you build the right team, you will always find them.

Prior to KCS Capital, Chad consulted as an Innovation Lead at IEP Energy Economics Development Corp., where he helped restructure the sales department, refine team alignment, and formalize sales strategy and presentation frameworks. He also contributed to stakeholder engagement initiatives focused on public education around renewable energy investment. His work expanded into the provincial utility and First Nations sectors, where he supported engagement with Indigenous communities and presented alongside provincial leaders. Chad has spoken across Western Canada on renewable infrastructure and investment, most recently as a keynote presenter at the Clean Energy BC Summit.

Driven by a sense of responsibility for the next generation, Chad dedicated several years to studying monetary history, inflation cycles, debt expansion, and modern capital markets. Through this work he identified that financial infrastructure, particularly settlement speed, capital efficiency, and asset liquidity, is likely to evolve through digital architecture. Rather than position himself in opposition to existing systems, he focused on how compliant, regulated alternatives could be thoughtfully designed within institutional frameworks. To date, Chad and his team have conducted structured analysis on more than 46 companies nationally across digital asset infrastructure, tokenization platforms, exchanges, custodians, and asset-backed finance models.

Chad approaches innovation as a discipline rather than an event. Over the past decade he has formally documented and catalogued hundreds of inventions and concepts across multiple industries. These are not speculative claims of execution, but structured examinations of how systems could evolve under different constraints. Through this process he has developed a strong capacity for pattern recognition: identifying structural inefficiencies, connecting adjacent strengths, and isolating leverage points where thoughtful redesign can unlock material improvement.

Sam Jr. Mraiheen is a Co-Founder of KCS Capital and a real-asset infrastructure operator with deep experience across energy, capital markets, and the institutional engagement required to bring large projects to commercial life. At KCS he advises on institutional relations, supporting executive-level engagement across banking, regulatory, and capital markets institutions.

Born in Kuwait and raised across the Middle East during a period of regional instability, Sam developed an early appreciation for resilience, capital preservation, and the importance of infrastructure that functions reliably under pressure. Those experiences shaped his long-term orientation toward disciplined system design and structured modernization.

Coming from a third-generation entrepreneurial family, Sam was exposed early to cross-border commerce and capital formation. During Dubai's rapid economic expansion in the early 2000s, his family built and scaled an automotive import and distribution enterprise. Observing both market volatility and accelerated growth cycles strengthened his understanding of asset turnover, operational discipline, and strategic positioning.

After relocating to Canada, Sam built his career within energy and infrastructure. As Executive Partner and Vice President of Major Business Development at Energy Economics, he focuses on driving strategic growth, forming key partnerships, and advancing utility-scale renewable energy projects across Texas and the broader North American markets, including independent power producer (IPP) development, utility-scale solar, and storage infrastructure. His work centres on aligning development, capital, and execution to bring large-scale energy infrastructure projects to life.

Sam is also the Founder of Power My Home, a venture he started in 2014 to advance practical distributed energy solutions for homeowners, RV, marine, and off-grid applications, extending the same infrastructure thinking from utility-scale projects down to the household level.

Through his energy work, Sam has seen firsthand how strong projects and asset owners are often constrained by financial systems that are slow, opaque, and not built for long-duration, cash-flow-generating assets. That insight is the foundation of his role at KCS Capital, where he functions as the firm's institutional bridge: connecting financial institutions, regulators, capital partners, and infrastructure operators with compliant digital asset initiatives.

Kevin Wong is a serial entrepreneur, Fractional CMO, and growth strategist with more than 22 years of experience building, scaling, and advising companies across multiple industries. As Co-Founder of KCS Capital, Kevin leads strategic growth, brand positioning, and market expansion, helping ensure that vision translates into measurable traction and long-term enterprise value.

Kevin's personal mission is to serve as a catalyst for organizations to grow and scale while upholding their most important core values. He operates from a people-first philosophy: impact precedes income, and taking care of people always comes before profit. This belief system shapes how he develops brands and architects growth strategies across industries.

Through his agency Evolve One Digital, where he serves as Chief Growth Strategist, Kevin has spent the past seven years advising entrepreneurs and leadership teams in increasingly competitive markets. He combines time-tested principles with current marketing strategy to help founders refine their message and reach the customers actively looking for what they offer. He works alongside founders as a strategic partner, bringing fresh perspective grounded in decades of execution.

From 2019 through 2025 Kevin served as Senior Brand Strategist and Marketing Advisor at Carbeeza, a Canadian SaaS platform transforming the automotive buying experience. There, he helped reposition marketing away from transactional messaging toward empowerment-driven narratives centered on consumer choice, personalization, and trust. His ability to merge creativity with analytical rigour has enabled brands to stand out in mature industries ready for reinvention.

A former competitive athlete, Kevin holds a Bachelor of Physical Education in Sports and Exercise from the University of Alberta. His athletic background informs his leadership style: disciplined, resilient, team-oriented, and performance-driven.

Don is a seasoned entrepreneur, operator, and community builder with more than 17 years of executive leadership experience. He is an angel investor in KCS Capital and serves as an independent strategic advisor to the founding team, contributing operational perspective drawn from decades of building and running his own businesses. He is not an employee or officer of the company.

Don is the Founder and President of a large development company he has led since 2009. Under his leadership, the firm has built a reputation for disciplined project execution, construction management expertise, and long-term client relationships. His background in infrastructure, operations, and hands-on business management brings practical, real-world insight to strategic decision-making.

Don is a social entrepreneur and mentor through Freedom Ventures, where he supports leadership development and personal growth initiatives. He is also the Founder of YEG Pickleball, playing a key role in expanding the sport within the Edmonton community through coaching, programming, and inclusive player development. His leadership style emphasizes fundamentals, strategic thinking, and a culture of encouragement, principles he applies equally in business.

Don has a long history of coaching youth sports, including over two decades of involvement in minor and inline hockey in Edmonton. His dedication to mentorship reflects his belief that strong leadership is built on discipline, resilience, and continuous improvement.

Don has been actively engaged in investment markets, with a strong interest in blockchain technology, cryptocurrency, and decentralized finance. That interest is part of what drew him to back KCS Capital as an early investor. A former competitive athlete with a background in bodybuilding, he brings a performance-driven mindset to everything he commits to.

As an advisor, Don offers the KCS Capital founders an independent sounding board: grounded operational wisdom from someone who has scaled companies through real-world conditions. His contribution is perspective, not management. He challenges assumptions and tests strategy against decades of hands-on experience.

Bruce was born in Saskatoon, Saskatchewan and has lived in Calgary, Vancouver, and Vernon. He is the President of Mench Capital Corp., founded in June 1999, a Canadian merchant banking firm providing corporate finance consulting and advisory services and access to private and public capital for established mid-market companies. Bruce is a seasoned merchant banker and capital markets executive with more than 25 years of experience structuring and originating private and public equity transactions across Canada.

Over the course of his career, Mench Capital Corp. has participated in or originated more than $500 million in private and public equity transactions, primarily across the Canadian resource sector in oil, gas, and mining, as well as structured and alternative investment products including private debt strategies and an innovative structure in the Canadian industrial carbon credits industry.

Bruce has held senior leadership roles including Vice President of Business Development at Qwest Bancorp Ltd., Executive Vice President and Director of Maple Leaf Funds, Regional Director at Next Edge Capital, Managing Director of Business Development at Harbourfront Wealth Management, and President of Cordilleran Resources Management Group Ltd. He has extensive experience developing tax-efficient investment vehicles, including flow-through limited partnerships that provide diversified exposure to Canadian junior exploration companies.

Bruce has served on numerous private and public company boards as an independent director, contributing governance oversight, strategic capital structuring, and institutional market insight. He was a founder of Sky Energy Partners, focused on solar and renewable energy from 2010 to 2014, and, along with Sol-Powered Energy Corp., funded and built the Casselman Arena rooftop solar project in Casselman, Ontario. He was formerly President and CEO of Cordillera Minerals Group Ltd. and President and CEO of both the Cordillera Minerals 2021 and 2023 Flow-Through Limited Partnerships.

Recently, Mench Capital Corp. provided financial advisory consulting for Ridge North America in 2025 and participated in securing $74 million in equity funding for the RNA Live Play Stay Development Limited Partnership, advancing a high-impact real estate and lifestyle investment initiative. Mench Capital also provided financial consulting services for CellCore Technologies Inc., Canada's first Indigenous nitrocellulose munitions facility, based in Saskatchewan. Bruce currently acts as Senior Vice President, Western Canada for Next Edge Capital, raising funds for critical and precious metals flow-through limited partnerships.

Bruce currently serves as an independent Director of Golden Sky Minerals and Thunderbird Minerals Corp. His prior board roles include Searchlight Resources Inc., Maple Leaf Energy Income Partnerships, Maple Leaf Flow-Through Limited Partnerships, Nation Wide Self Storage Trust I, Richfield Ventures Corp, Orsa Ventures, Cliffmont Resources, and Maple Leaf Resource Corp.

At KCS Capital, Bruce supports the development of institution-grade capital strategies as the firm builds regulated digital asset infrastructure and real-world asset tokenization platforms. As Capital Markets Advisor, he provides strategic guidance on capital formation, investor positioning, and institutional market access. Bruce holds an Honours degree in Political Science and English from the University of Saskatchewan.

Information technology law Partner in the Vancouver office of Fasken. A recognized leader in the British Columbia technology ecosystem, Mike represents companies through every stage of development, with a focus on early-stage entrepreneurs, start-ups, and emerging growth companies.

An experienced M&A and securities lawyer, Mike counsels founders, executives, and company boards on corporate strategy, fundraising, board governance, and strategic transactions, from foundation through to IPO or exit. At KCS Capital, he advises on the corporate and securities framework underpinning the firm's regulated digital asset infrastructure work.

Senior Enterprise and Systems Architect with more than 20 years designing, governing, and modernizing complex systems in regulated environments across banking, insurance, public sector, and large enterprise ecosystems. TOGAF 9.1 Enterprise Architect; ITIL V3 Foundation. Zed brings the architectural patterns that regulated financial platforms depend on: identity control, asset lifecycle management, transaction traceability, auditability, operational controls, and the translation of business intent into secure, scalable system architecture.

At Vancity, Zed led Interac payments platform modernization, AML compliance enhancements, CRM operational redesign, and the DBST (Digital Solutions and Business Technology) intake process, translating complex financial-service workflows into structured platform capabilities, with deep work on transaction lifecycles, control points, data flows, and the bank-stakeholder communication those designs require.

At ICBC, he introduced Business Capability Planning within the Enterprise Architecture group and led audit control improvements, identity management requirements, and operational workflow optimization using the TOGAF 9.1 framework. At Safeway, he established ITAM and SAM practices, integrated CMDB and asset tracking, and designed identity and access management process integrations across infrastructure systems, work that directly parallels custody, asset verification, and control requirements in a tokenized environment.

At UBC, Zed worked within Enterprise Architecture to align Workday integration with university-wide capabilities, value streams, governance models, and data architectures. More recently, he has established and matured business architecture practices at Capilano University, BC Housing, and TransLink, and currently consults independently on identity management, digital asset management, and business transformation roadmaps.

At KCS Capital, Zed is the Senior Enterprise Architect for the 4orm Finance build. He owns target-state systems architecture, the identity and asset-lifecycle model, and the bank-facing control framework that institutional partners require. His view of the work is direct: an RWA exchange is banking architecture plus a digital custody layer, and he has already architected the banking side of that equation many times over, wallet, identity, compliance, asset, transaction, settlement, reporting, just not yet on chain.

James Atherton is a Canadian securities lawyer, entrepreneur and capital markets advisor with more than 20 years of experience advising emerging and growth-stage companies on corporate structuring, governance, exempt market financings, securities regulation and public and private capital formation.

James is the founder and CEO of the Capiche Group, which includes three integrated businesses. Capiche Capital Technologies is a platform that digitizes and automates the private placement process for private-stage and public companies across the TSX Venture Exchange and the Canadian Securities Exchange. Capiche Crowdfunding is Canada's only nationwide exempt crowdfunding portal, empowering startups and early-stage companies to raise capital online from both accredited and retail investors. Capiche Legal LLP is the boutique securities law firm advising early-stage private companies and junior public issuers on exempt offerings, exchange listings, CPCs, RTOs, and corporate governance.

James serves on the boards of Golden Sky Minerals Corp., a TSX-V listed mineral exploration company and project generator, and Marrelli Trust Company Limited, a regulated trust company providing full-service transfer agent and corporate trust solutions to private and Canadian-listed public companies. He has extensive experience advising companies on financing strategy, governance structuring, founder alignment, shareholder arrangements, and exempt market compliance.

He is also a member of the BCSC Corporate Finance Stakeholder Forum, an advisory group of industry professionals that provides the British Columbia Securities Commission's Corporate Finance division with insights on market trends, policy development, and emerging issues affecting issuers and investors.

In addition to his legal practice, James has been actively involved in the development of capital markets technology infrastructure and digital financing systems designed to modernize private capital formation in Canada. His work has included investor onboarding systems, financing workflow automation, digital subscription infrastructure and governance management tools for private and public issuers.

At 4orm Finance, James advises on corporate organization, founder and governance structuring, financing architecture, securities law matters and exempt market strategy as the company develops institutional-focused digital finance and capital markets infrastructure initiatives.

Miika Makela is a CFA charter holder and capital markets specialist with more than two decades across Canadian securities, structured raises, and regulatory compliance. His career spans institutional research, corporate finance, investor relations, exempt-market dealer compliance, and the registrant infrastructure that allows private capital to be raised compliantly in Canada.

Miika has served as Chief Compliance Officer at multiple Canadian registered firms, Equifaira Private Securities Inc., Robson Capital Markets Corp., and Ascendo Financial, building and operating the compliance programs that satisfy provincial securities regulators. He has also run internal compliance for corporate issuers that are not legally required to have a CCO, a layer of discipline that materially smooths regulator engagement when raises and structuring decisions are being scrutinized.

From 2015 to 2018 he chaired the Investment Review Committee at FrontFundr, Canada's largest equity crowdfunding platform, where he led the diligence and approval framework for issuers entering the exempt market. His structuring work focuses on the mechanics of how capital is raised and held: TFSA- and RRSP-eligible vehicles, exempt-market financings, and the warrant and milestone-based structures that align early investors with downstream rounds.

His earlier career includes Vice President, Corporate Finance at CANUS Capital Corp., where he led private placements of debt and equity, refinancings, and M&A for Canadian and U.S. public and private companies; institutional research at PI Financial Corp.; portfolio analytics at Ethical Funds; and a global equity start at Russell Investment Group. Early in his career, Angelo rose into corporate sales training roles, where he focused on empowering clients and colleagues to elevate performance. His ability to simplify complex concepts into clear, actionable strategies became a defining strength, one that now directly benefits his real estate clients and investment partners.

With a strong foundation in financial literacy, Angelo approaches real estate not merely as a transaction, but as a strategic investment decision. He has successfully facilitated hundreds of transactions, earning a reputation for preparation, transparency, efficiency, and disciplined execution. Having grown up in the Fraser Valley and spent over a decade working throughout Greater Vancouver, Angelo brings deep local market knowledge and a broad professional network across diverse communities. He has also completed transactions with foreign buyers from China and Japan, enabling him to connect international capital with Canadian opportunities.

In addition to his brokerage work, Angelo serves as a Real-World Asset Advisor, helping bridge traditional real estate markets with emerging digital financial infrastructure. Dean brings over four decades of leadership experience in commercial infrastructure and business operations, combined with an evolving focus on digital asset markets and blockchain innovation.

For more than 40 years, Dean has led a successful commercial electrical contracting enterprise, building and sustaining a family-owned business rooted in precision, operational discipline, and long-term resilience. Since the mid-1980s, he has managed large-scale infrastructure projects, navigating complex environments while maintaining a reputation for reliability and execution excellence.

In recent years, Dean has expanded his expertise into digital asset markets and blockchain research. Since 2021, he has undertaken advanced market training and developed strong technical and fundamental analysis capabilities across crypto, DeFi, and decentralized exchange ecosystems. As Research Advisor at KCS Capital, Dean focuses on blockchain market analysis, emerging protocol evaluation, tokenomics assessment, and identifying early-stage innovation within decentralized finance infrastructure.

Outside of his professional work, Dean is passionate about music, fishing, and the outdoors. A devoted father, he raised his children as a single parent after the tragic loss of his wife while continuing to grow his company, a testament to his character, commitment, and long-term perspective.
